Terms and Conditions for Blakes Global Legal Innovation ChallengeThe Blakes Global Innovation Challenge (the “Challenge”) is sponsored by Blake, Cassels & Graydon LLP (“Blakes”) and Law Made Inc. (“Law Made”).
Participation in the Challenge involves two principal steps:
- An application to participate in the Challenge (an “Application”); and
- If your Application is approved, a submission which is your substantive entry for the Challenge (a “Submission”).
Description of the Challenge
Large businesses are subject to complex systems of statutes, regulations and rules. They are looking to identify and understand changes that impact their activities, usually on a short timeline. In order to do so, they require efficient, timely advice that gives them the clear picture of the regulatory changes. What has changed? What does it mean for the organization and the regulatory environment in which it operates?
This issue is sometimes more complex than it appears: one change can be part of a larger bundle of changes that potentially impact the business. Each change can affect the interpretation and impact of other regulations, and – as a result – the advice provided.
We are looking for an automated method that can gather changes to relevant statutes, regulations and rules; arrange and report on the changes in a manner relevant to our clients; and track the relationships between regulations (so we are able to track the impact one change could have on another).
The end result will be a product that utilizes a technology solution (for example, machine learning, artificial intelligence, natural language processing) to collect this information and provide clear, structured and actionable reporting on regulatory changes.
Who Can Apply?
Applications to participate in the Challenge should only be submitted by (1) an individual on their own behalf, or (2) an authorized representative on behalf of a company or other organization applying to participate in the Challenge.
Entrants must be the age of majority in the jurisdiction in which they are resident.
Who Cannot Apply?
Employees, partners or agents of Blakes or its affiliates cannot participate in the Challenge.
Officers, directors, employees or agents of Law Made, or its affiliates, cannot participate in the Challenge. For greater certainty, start-ups and other companies that are working with Law Made can apply.
Applying to Participate
Visit http://innovation.blakes.com/innovation and follow the directions provided to complete and submit an Application. By making an Application, you represent and warrant that all information provided as part of the Application is truthful and accurate.
By submitting an Application you, on behalf of yourself and, if applicable, on behalf of your company or other organization (the “Applicant”) agree to abide by these Terms and Conditions (the “Terms”) and the decisions of Blakes which shall be final and binding in all respects relating to this Challenge including, without limitation, with respect to all Applications and Submissions made in connection with the Challenge.
Screening Applications for Eligibility
Applications received on or before May 15, 2017 will be reviewed for eligibility to participate in the Challenge by Blakes, Law Made and their respective designees including, without limitation, any jury panel appointed for the purpose of such review by Blakes and Law Made.
Blakes, in its sole discretion, shall determine which Applications are eligible for participation in the Challenge. Such determination (each, an “Approval”) will be based on the following criteria: experience, expertise, strategic fit, practicability.
Applicants will be informed of whether they receive an Approval by email.
Only Applicants that have received an Approval are permitted to make a Submission.
Submissions are made in accordance with a Business Requirements Document to be made available to Applicants that have received an Approval.
Submissions will be reviewed and considered for the prize by Blakes, Law Made and their respective designees. Submissions will be evaluated based on their satisfaction of business requirements set out in the Business Requirements Document.
A select number of Applicants (the “Finalists”) will be invited to present their Submissions before Blakes, Law Made and their respective designees. The presentations will take place in the Toronto office of Blakes. Finalists attending in person in Toronto will be responsible for any associated travel and accommodation expenses. Arrangements can be made for participation remotely if a Finalist is unable to attend in Toronto. All details of the presentations will be provided to the Finalists at time of notification, including, without limitation, date and time of presentation and any guidelines with respect to what must be presented and how. The recipient of the winning prize will be selected from among the Finalists by Blakes in its sole discretion.
Finalists will be required to execute and return a release and other documentation within a time period specified by Blakes. If such documents are not returned within the specified time period, a potential Finalist cannot be contacted within a reasonable time period or is not in compliance with these Terms, such Finalist will be disqualified and another Applicant may, in Blakes’ sole discretion, be selected to be a Finalist.
Blakes and Law Made may designate one or more jury panels for review of Applications and Submissions during the Challenge. The number of jury panels and the membership of any such jury panels shall be determined at the sole discretion of Blakes and Law Made. Any such panels shall play an advisory role only and the determination of qualifying Applications and selection of the winning Submission shall be at the made at the sole discretion of Blakes.
The chances of winning the Challenge depend on the number of Submissions and the quality of such Submissions in comparison to the Applicant’s submissions.
The Challenge is open for Applications on February 1, 2017:
Initial Applications must be received by Blakes on or before May 15, 2017.
Notifications will be sent regarding Approvals within 15 business days of receipt of Applications by Blakes.
An initial information session will occur on April 27, 2017.
Submissions from participants that have received an Approval will be accepted beginning on March 1, 2017 and must be made on or before July 31, 2017.
If selected, Finalists will be notified on or before September 15, 2017.
Finalist presentations will be made on October 30, 2017.
If selected, a winner will be notified on or before November 30, 2017.
There will be a maximum of one winning Submission selected from Submissions to the Challenge. The prize for the winning Submission (the “Prize”), subject to the conditions set out in these Terms, is as follows:
- Up to 25 hours of legal advice relating to development and commercialization of the solution, provided by Blakes lawyers;
- At least 25 hours of mentoring from Law Made;
- An internship for one authorized representative from the winning Participant, or an individual that is the winning Participant, as the case may be, for a period of up to 6 months at the Toronto office of Blakes for the development of the winning Submission. Subject to eligibility, the internship will include:
- A dedicated work space;
- A monthly stipend;
- Collaboration with members of Blakes, including the Firm’s Practice Innovation team, for the purposes of further developing the winning Submission.
Prior to being offered the internship portion of the prize, the authorized representative from the winning Participant or the individual that is the winning Participant, as the case may be, must demonstrate they are legally eligible to work in Canada, successfully complete a background check and meet other eligibility requirements for an internship with Blakes, as determined by Blakes in its sole discretion. Blakes reserves the right to not offer the internship portion of the Prize if no individual or authorized representative, as the case may be, is determined to be eligible.
The estimated total value of the prize is approximately $100,000 CDN.
Blakes reserves the right to not provide the Prize if it does not receive any Submissions that, in Blakes sole discretion, meet the criteria set out in these Terms and Conditions or elsewhere in the documentation that Blakes provides regarding the Challenge.
General Terms and Conditions
Blakes will collect and use the personal information that you submit as part of your Application or Submission or otherwise in connection with the Challenge, and will share such information with Law Made for the purpose of administering the Challenge, including awarding the Prize.

Decisions of Blakes are final and binding in all matters.
By submitting an Application, Applicants represent and warrant to Blakes and Law Made that:
- all aspects of the Application, any subsequent Submission, and the information contained therein (collectively, for the purposes of these Terms and Conditions, the “Entry”), are original to the Applicant or the Applicant has secured all rights, including any intellectual property rights, to submit the Entry;
- neither the Applicant’s Entry nor the use by Blakes and Law Made of the Entry, in whole or in part, violates the right(s), including any intellectual property rights, of any third party;
- all activities of an Applicant’s business initiative are lawful;
- the Entry does not contain offensive or libelous material, is truthful and not misleading;
- the Applicant has considered and complied with all contractual and/or confidentiality commitments that may be applicable to his/her/its Entry, including compliance with business privacy policies, data use policies, policies governing disclosure of company information, agreements with third parties, and any other company policies or commitments that may be applicable; and
- the Applicant has submitted the Entry in accordance with these Terms.
Unless otherwise indicated in these Terms, Applicants are responsible for all costs and expenses associated with submitting an Application, making a Submission, accepting and participating in the Prize and any other activities directly or indirectly relating to the Challenge including, without limitation, all federal, provincial and municipal taxes due or to become due by such Applicants.
